Shopping.com Logo License Agreement

1.  License.  If SHOPPING.COM, Inc. makes available to you a logo for downloading, SHOPPING.COM hereby grants to you a nonexclusive, nonassignable, nonsublicenseable, royalty-free license to display one of the SHOPPING.COM logos above, including the associated trademark(s) and HTML code (collectively, the "Logo") for the sole purpose of (a) linking to the SHOPPING.COM.com home page, your personal profile page, or your affiliate home page, or (b) if you are a member of the press, including the Logo in an article that references SHOPPING.COM.  If SHOPPING.COM makes available to you for downloading HTML code that calls on its servers, SHOPPING.COM hereby grants to you a nonexclusive, nonassignable, nonsublicenseable, royalty-free license to use the HTML code above (the "Code") without modification for the sole purpose of calling on SHOPPING.COM's servers to include the associated Logo on your site.

 2.  Restrictions.

 2.1  If you are using the license described in Section 1(a), you must use the Logo as an active hypertext link only to a page enumerated there.   You may not frame SHOPPING.COM.com, cause the link to create a new browser window (unless such window occupies 100% of the user's screen and appears above all other browser windows), or otherwise cause users to display the site in a distorted fashion.

 2.2  You may display the Logo only in the form and at the size provided to you.  You may not modify or alter the Logo or Code in any way, including size, proportions, colors, elements, type or any other respect.  You may not animate, morph or otherwise distort the Logo's perspective or dimensional appearance, nor may you use screen shots of your pages (to the extent that the Logo appears in the screen shot) in any other medium (except as permitted by Section 1(b)).  If SHOPPING.COM provides you with a substitute version of the Logo, you shall replace the Logo as soon as reasonably possible.

 2.3  The Logo shall be surrounded by a reasonable amount of empty space, and you may not use the Logo in conjunction with other logos or marks in a way that would create a combination mark.  You may not use the Logo in a way that suggests that SHOPPING.COM endorses or sponsors your site.  The Logo may not appear larger or more prominently than other branding on the page on which it is displayed.

 2.4  You may not use the Logo in any way that tarnishes, blurs or dilutes the quality of SHOPPING.COM's trademarks or any associated goodwill.  Without limiting the foregoing, you shall not display the Logo on any pages that contain infringing or illegal content.

 2.5  You acknowledge SHOPPING.COM's sole and exclusive ownership of the Logo and the Code, and you shall not take any action inconsistent with such ownership, such as adopting, using, registering, or attempting to register any logo or trademark confusingly similar to the Logo.  All use of or goodwill associated with the Logo shall inure to SHOPPING.COM's benefit.  You may not use the Logo or Code in any manner not expressly authorized under this Agreement.

 3.  Termination.  SHOPPING.COM may terminate this Agreement or the trademark or Code license at any time for any reason or no reason.  You may terminate this Agreement at any time for any reason or no reason.  This Agreement and your license automatically terminates if you breach any provision of this Agreement.  In the event of termination, (a) you shall immediately remove the Logo or Code from your site and otherwise cease using the Logo and Code, and (b) Sections 3-7 shall survive.

 4.  No Warranty.  THE LOGO AND CODE IS PROVIDED "AS IS."  SHOPPING.COM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.  Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.  This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.

 5.  Liability Limits. SHOPPING.COM DISCLAIMS ALL CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE CODE OR THE LOGO (HOWEVER ARISING, INCLUDING NEGLIGENCE).  SHOPPING.COM's TOTAL LIABILITY TO YOU IS LIMITED TO $1,000.  Some states do not allow the foregoing limitations of liability, so they may not apply to you.

 6.  Entire Agreement/Amendment.  This Agreement constitutes the entire agreement, and supersede the provisions of any other agreements or understandings (oral or written), between the parties with respect to the Logo and Code.  However, this Agreement does not modify in any respect the SHOPPING.COM Member Agreement or associated documents.  This Agreement may be amended only by a writing physically signed by both SHOPPING.COM and you.  Notwithstanding the foregoing, SHOPPING.COM may modify the Agreement in its sole discretion by notifying you by email of any proposed changes, which changes shall be effective upon when a notice is sent to your email address.  If you do not agree with any amendments, you may terminate your license to the Logo or Code.

 7.  General.  This Agreement is governed in all respects by the laws of the State of California as such laws are applied to agreements entered into and to be performed entirely within California between California residents.  Both parties submit to personal jurisdiction in California and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in San Mateo County, California.  SHOPPING.COM shall be excused for any failure to perform to the extent that its performance is prevented by any reason outside of its control.  No agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement.  If any portion of this Agreement is deemed unenforceable, that portion shall be enforced to the maximum extent possible and the remaining portions of the Agreement shall be given full effect.  SHOPPING.COM's failure to act in a particular circumstance does not waive the ability to act with respect to that circumstance or similar circumstances.

Logo-Lizenzvereinbarung von Shopping.com

1.  Lizenz. Mit der Bereitstellung eines Logos zum Herunterladen durch SHOPPING.COM Inc. erteilt SHOPPING.COM eine nicht exklusive, nicht übertragbare und nicht unterlizenzierbare, gebührenfreie Lizenz für das Anzeigen eines der vorstehenden Logos von SHOPPING.COM einschließlich der entsprechenden Warenzeichen und des HTML-Codes (zusammenfassend bezeichnet als "Logo") zu dem ausschließlichen Zweck der (a) Erstellung von Links zur Startseite von SHOPPING.COM, Ihrer persönlichen Profilseite oder Ihrer Affiliate-Homepage bzw. (b) Aufnahme eines Logos in einen Artikel mit Bezug zu SHOPPING.COM durch Pressevertreter. Wenn SHOPPING.COM HTML-Code zum Herunterladen von seinen Servern für Sie bereitstellt, erteilt SHOPPING.COM Ihnen hiermit eine nicht exklusive, nicht übertragbare und nicht unterlizenzierbare, gebührenfreie Lizenz zur Verwendung des genannten HTML-Codes (des "Codes") ohne Modifikationen und ausschließlich zum Zweck des Abrufs von den Servern von SHOPPING.COM zur Aufnahme des entsprechenden Logos in Ihre Website.

 2.  Einschränkungen.

 2.1  Bei Nutzung der in Abschnitt 1(a) beschriebenen Lizenz darf das Logo nur als aktive Hypertext-Verknüpfung zu einer der dort genannten Seiten verwendet werden. Das Framing von SHOPPING.COM ist nicht zulässig. Die Verknüpfung darf nicht zur Erstellung eines neuen Browserfensters (es sei denn, dieses Fenster füllt den Bildschirm des Benutzers zu 100 % aus und erscheint über allen sonstigen Browserfenstern) oder auf sonstige Weise verwendet werden, durch die dem Benutzer die Website entstellt angezeigt wird.

 2.2  Das Logo darf ausschließlich in der bereitgestellten Form und Größe angezeigt werden. Das Logo bzw. der Code dürfen in keiner Weise modifiziert oder verändert werden. Dies gilt unter anderem für die Größe, die Proportionen, die Farben, die Elemente, den Typ und alle sonstige Eigenschaften. Die Perspektive und die Abmessungen des Logos dürfen nicht animiert, formverändert oder auf sonstige Weise verzerrt werden. Ferner dürfen keine Screenshots Ihrer Seiten (mit im Screenshot sichtbarem Logo) in anderen Medien verwendet werden (ausgenommen gemäß Absatz 1(b)). Wenn SHOPPING.COM Ihnen eine Ersatzversion des Logos zur Verfügung stellt, müssen Sie das Logo schnellstmöglich ersetzen.

 2.3  Um das Logo herum muss ausreichend Platz bleiben. Das Logo darf in Verbindung mit sonstigen Logos oder Zeichen nicht so verwendet werden, dass ein kombiniertes Zeichen entsteht. Durch die Verwendung des Logos darf nicht der Eindruck erweckt werden, dass SHOPPING.COM Ihre Website billigt oder sponsert. Das Logo darf nicht größer oder auffälliger auf der Seite erscheinen als andere Markenzeichen.

 2.4.  Das Logo darf nicht auf eine Weise verwendet werden, durch die die Qualität der Warenzeichen von SHOPPING.COM oder die damit verbundene Reputation beschädigt, entstellt oder verwässert werden. Ohne Einschränkung des Vorstehenden darf das Logo nicht auf Seiten mit gesetzeswidrigen oder illegalen Inhalten angezeigt werden.

 2.5  Sie erkennen das alleinige und ausschließliche Eigentum von SHOPPING.COM an Logo und Code an und dürfen keine Handlungen ausführen, die diesem entgegenstehen. Dazu gehören u. a. die Übernahme, die Verwendung, der Eintrag oder der Versuch eines Eintrags eines Logos oder eines Warenzeichens, die so starke Ähnlichkeit mit dem Logo aufweisen, dass Verwechslungen möglich sind. Die Verwendung des Logos und der mit dem Logo verbundenen Reputation muss SHOPPING.COM zugute kommen. Außer in der in dieser Vereinbarung ausdrücklich gestatteten Form dürfen das Logo bzw. der Code nicht verwendet werden.

 3.  Kündigung. SHOPPING.COM kann diese Vereinbarung bzw. die Lizenz für das Warenzeichen oder den Code jederzeit aus beliebigem Grund oder grundlos kündigen. Auch Sie können diese Vereinbarung jederzeit aus beliebigem Grund oder grundlos kündigen. Bei einem Verstoß Ihrerseits gegen eine der Bestimmungen der Vereinbarung werden die Vereinbarung und Ihre Lizenz automatisch ungültig. Im Falle einer Kündigung müssen Sie (a) das Logo bzw. den Code unverzüglich von Ihrer Website entfernen und die sonstige Verwendung des Logos bzw. Codes einstellen, wobei (b) die Abschnitte 3-7 weiterhin gültig bleiben.

 4.  Keine Gewährleistung. LOGO UND CODE WERDEN "WIE BESEHEN" BEREITGESTELLT. SHOPPING.COM SCHLIESST JEDE AUSDRÜCKLICHE, STILLSCHWEIGENDE ODER GESETZLICHE GEWÄHRLEISTUNG, EINSCHLIESSLICH UNTER ANDEREM DER STILLSCHWEIGENDEN GEWÄHRLEISTUNG DES RECHTSANSPRUCHS, DER MARKTGÄNGIGKEIT UND DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK SOWIE DER NICHTVERLETZUNG VON RECHTEN, AUS. In einigen US-Bundesstaaten ist der Ausschluss stillschweigender Gewährleistung nicht zulässig. In diesem Fall hat der vorstehende Haftungsausschluss für Sie ggf. keine Gültigkeit. Diese Gewährleistung verleiht Ihnen spezifische Rechtsansprüche. Darüber hinaus haben Sie ggf. weitere Rechtsansprüche, die von Staat zu Staat unterschiedlich sein können.

 5.  Haftungsbeschränkungen. SHOPPING.COM LEHNT JEDE HAFTUNG FÜR FOLGESCHÄDEN, ZUFÄLLIGE ODER SPEZIELLE SCHÄDEN ODER GEWINNAUSFÄLLE DURCH ODER IN VERBINDUNG MIT DIESER VEREINBARUNG, DEM CODE ODER DEM LOGO (UNABHÄNGIG VON IHRER ENTSTEHUNG, AUCH BEI FAHRLÄSSIGKEIT) AB. DIE GESAMTHAFTUNG VON SHOPPING.COM IHNEN GEGENÜBER IST AUF 1.000 US-DOLLAR BEGRENZT. Da die vorstehenden Haftungsbeschränkungen in einigen US-Bundesstaaten nicht zulässig sind, finden sie gegebenenfalls bei Ihnen keine Anwendung.

 6.  Unteilbarkeit/Änderung. Diese Vereinbarung umfasst alle vertraglichen Vereinbarungen und ersetzt sonstige Verträge oder (mündliche oder schriftliche) Übereinkünfte zwischen den Vertragsparteien im Hinblick auf das Logo und den Code. Diese Vereinbarung stellt jedoch keinerlei Änderung des Vertrags über die Mitgliedschaft bei SHOPPING.COM oder der zugehörigen Dokumente dar. Änderungen dieser Vereinbarung bedürfen der Schriftform und der eigenhändigen Unterzeichnung durch beide Vertragspartner. Unbeschadet des Vorstehenden kann SHOPPING.COM die Vereinbarung nach eigenem Ermessen durch Mitteilung der beabsichtigten Änderungen per E-Mail ändern. Diese Änderungen treten mit der Zusendung der entsprechenden Mitteilung an Ihre E-Mail-Adresse in Kraft. Falls Sie mit etwaigen Änderungen nicht einverstanden sind, können Sie die Lizenzierung des Logos bzw. Codes kündigen.

 7.  Allgemeines. Dieser Vertrag unterliegt in jeder Hinsicht den Gesetzen des US-Bundesstaates Kalifornien, soweit diese für zwischen Einwohnern des US-Bundesstaates Kalifornien geschlossene und innerhalb des Bundesstaates Kalifornien ausgeführte Verträge gelten. Beide Parteien unterliegen der Zuständigkeit der Gerichte von Kalifornien und vereinbaren ferner, dass alle etwaigen sich aus dieser Vereinbarung ergebenden Rechtsstreitigkeiten ausschließlich vor einem Gericht im County San Mateo (Kalifornien) verhandelt werden. SHOPPING.COM trifft kein Verschulden für eine etwaige Nichterfüllung, sofern die Erfüllung des Vertrags durch einen außerhalb seiner Kontrolle liegenden Grund verhindert wird. Mit dieser Vereinbarung wird kein Agentur-, Partnerschafts-, Joint-Venture-, Beschäftigungs- oder Franchise-Verhältnis beabsichtigt oder begründet. Sofern ein Teil dieser Vereinbarung als nicht durchsetzbar betrachtet wird, wird dieser Teil im maximal durchsetzbaren Rahmen vollstreckt. Alle übrigen Teile der Vereinbarung behalten ihre volle Gültigkeit. Der Verzicht auf die Ausübung seiner Rechte seitens SHOPPING.COM im Einzelfall stellt keinen Verzicht auf die Möglichkeit zur Reaktion auf diese oder vergleichbare Umstände dar.

1.  Licence.  Si SHOPPING.COM, Inc. vous donne accès à un logo téléchargeable, par cet Accord, SHOPPING.COM vous accorde une licence non exclusive, incessible, gratuite et ne pouvant faire l''objet d''aucune sous-licence, pour vous vous permettre d''afficher un des logos SHOPPING.COM ci-dessus, y compris les marques et le code HTML associés (collectivement dénommés le "Logo") dans l''unique but (a) de créer un lien vers la page d''accueil SHOPPING.COM.com, vers votre page de profil personnel, ou vers votre page d''accueil associée, ou (b) si vous êtes membre de la presse, d''inclure le Logo dans un article faisant référence à SHOPPING.COM.  2.  Limitations.

 2.1  Si vous utilisez la licence décrite à la section 1(a), vous devez utiliser le Logo sous forme d''hyperlien actif uniquement vers une page énumérée ici.   Vous n'êtes pas autorisé à encadrer SHOPPING.COM.com, à faire associer le lien à une nouvelle fenêtre de navigateur (sauf si cette fenêtre occupe 100% de l'écran de l''utilisateur et apparaît au-dessus de toutes les autres fenêtres de navigateur), ni à permettre aux utilisateurs d''afficher le site sous une apparence déformée.

 2.2  Pour afficher le Logo fourni, vous devez conserver sa forme et sa taille. Vous n'êtes pas autorisé à modifier le Logo ou le Code, de quelque manière que ce soit, au niveau de la taille, des proportions, des couleurs, des éléments, du type ou de tout autre aspect. Vous ne pouvez pas animer, altérer la forme ou créer des images par déformation de la perspective du Logo ou de ses proportions. Vous ne pouvez pas non plus utiliser des captures d'écran de vos pages (dans la mesure où le Logo figure dans la capture d'écran) sur aucun autre support (excepté dans les conditions autorisées à la section 1(b)).  Si SHOPPING.COM vous donne accès à une version de remplacement du Logo, vous vous engagez à remplacer le Logo dans un délai raisonnable.

 2.3  Le Logo sera entouré d''un espace vide raisonnable et ne pourra en aucun cas être utilisé avec d''autre logos ou marques de manière à créer une association de marques. Vous n'êtes pas autorisé à utiliser le Logo de manière à suggérer que SHOPPING.COM avalise ou parraine votre site.  Le Logo ne doit sembler ni plus grand, ni en évidence par rapport aux autres marques présentes sur la même page.

 2.4  l''utilisation faite du Logo ne devra en aucun cas contribuer à ternir, entacher ou diminuer la qualité des marques de SHOPPING.COM ni sa cote d''estime.  Sans limitation de ce qui précède, vous ne devrez pas afficher le Logo sur des pages présentant un contenu à caractère illégal ou contraire à la loi.

 2.5  Vous reconnaissez que SHOPPING.COM est le propriétaire unique et exclusif du Logo et du Code, et vous vous engagez à n''entreprendre aucune action contraire à ce principe de propriété, dans le but d''adopter, d''utiliser, d''enregistrer ou de tenter d''enregistrer un logo ou une marque pouvant être confondu avec le Logo.  l''utilisation du Logo ou le prestige qui lui est associé devront profiter à SHOPPING.COM.  Toute autre utilisation du Logo ou du Code, non explicitement autorisée dans le cadre du présent Accord, est interdite.

 3.  Résiliation.  SHOPPING.COM se réserve le droit de résilier le présent Accord ou la Licence relative à la marque ou au code à tout moment, quelqu''en soit le motif ou sans motif particulier.  De même, vous pouvez résilier cet Accord à tout moment quelqu'en soit le motif ou sans motif particulier.  La résiliation de cet Accord, ainsi que de votre licence est automatique en cas de manquement à l''une des dispositions prévues par cet Accord.  En cas de résiliation, (a) vous vous engagez à supprimer immédiatement le Logo ou le Code de votre site ou à cesser d''utiliser le Logo et le Code, et (b) Les sections 3-7 continueront de s'appliquer.

If SHOPPING.COM, Inc. makes available to you a logo for downloading, SHOPPING.COM hereby grants to you a nonexclusive, nonassignable, nonsublicenseable, royalty-free license to display one of the SHOPPING.COM logos above, including the associated trademark(s) and HTML code (collectively, the "Logo") for the sole purpose of (a) linking to the SHOPPING.COM.com home page, your personal profile page, or your affiliate home page, or (b) if you are a member of the press, including the Logo in an article that references SHOPPING.COM.  If SHOPPING.COM makes available to you for downloading HTML code that calls on its servers, SHOPPING.COM hereby grants to you a nonexclusive, nonassignable, nonsublicenseable, royalty-free license to use the HTML code above (the "Code") without modification for the sole purpose of calling on SHOPPING.COM's servers to include the associated Logo on your site.

 2.  Restrictions.

 2.1  If you are using the license described in Section 1(a), you must use the Logo as an active hypertext link only to a page enumerated there.   You may not frame SHOPPING.COM.com, cause the link to create a new browser window (unless such window occupies 100% of the user's screen and appears above all other browser windows), or otherwise cause users to display the site in a distorted fashion.

 2.2  You may display the Logo only in the form and at the size provided to you.  You may not modify or alter the Logo or Code in any way, including size, proportions, colors, elements, type or any other respect.  You may not animate, morph or otherwise distort the Logo's perspective or dimensional appearance, nor may you use screen shots of your pages (to the extent that the Logo appears in the screen shot) in any other medium (except as permitted by Section 1(b)).  If SHOPPING.COM provides you with a substitute version of the Logo, you shall replace the Logo as soon as reasonably possible.

 2.3  The Logo shall be surrounded by a reasonable amount of empty space, and you may not use the Logo in conjunction with other logos or marks in a way that would create a combination mark.  You may not use the Logo in a way that suggests that SHOPPING.COM endorses or sponsors your site.  The Logo may not appear larger or more prominently than other branding on the page on which it is displayed.

 2.4  You may not use the Logo in any way that tarnishes, blurs or dilutes the quality of SHOPPING.COM's trademarks or any associated goodwill.  Without limiting the foregoing, you shall not display the Logo on any pages that contain infringing or illegal content.

 2.5  You acknowledge SHOPPING.COM's sole and exclusive ownership of the Logo and the Code, and you shall not take any action inconsistent with such ownership, such as adopting, using, registering, or attempting to register any logo or trademark confusingly similar to the Logo.  All use of or goodwill associated with the Logo shall inure to SHOPPING.COM's benefit.  You may not use the Logo or Code in any manner not expressly authorized under this Agreement.

 3.  Termination.  SHOPPING.COM may terminate this Agreement or the trademark or Code license at any time for any reason or no reason.  You may terminate this Agreement at any time for any reason or no reason.  This Agreement and your license automatically terminates if you breach any provision of this Agreement.  In the event of termination, (a) you shall immediately remove the Logo or Code from your site and otherwise cease using the Logo and Code, and (b) Sections 3-7 shall survive.

 4.  No Warranty.  THE LOGO AND CODE IS PROVIDED "AS IS."  SHOPPING.COM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.  Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.  This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.

 5.  Liability Limits. SHOPPING.COM DISCLAIMS ALL CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE CODE OR THE LOGO (HOWEVER ARISING, INCLUDING NEGLIGENCE).  SHOPPING.COM's TOTAL LIABILITY TO YOU IS LIMITED TO $1,000.  Some states do not allow the foregoing limitations of liability, so they may not apply to you.

 6.  Entire Agreement/Amendment.  This Agreement constitutes the entire agreement, and supersede the provisions of any other agreements or understandings (oral or written), between the parties with respect to the Logo and Code.  However, this Agreement does not modify in any respect the SHOPPING.COM Member Agreement or associated documents.  This Agreement may be amended only by a writing physically signed by both SHOPPING.COM and you.  Notwithstanding the foregoing, SHOPPING.COM may modify the Agreement in its sole discretion by notifying you by email of any proposed changes, which changes shall be effective upon when a notice is sent to your email address.  If you do not agree with any amendments, you may terminate your license to the Logo or Code.

 7.  General.  This Agreement is governed in all respects by the laws of the State of California as such laws are applied to agreements entered into and to be performed entirely within California between California residents.  Both parties submit to personal jurisdiction in California and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in San Mateo County, California.  SHOPPING.COM shall be excused for any failure to perform to the extent that its performance is prevented by any reason outside of its control.  No agency, partnership, joint venture, employment or franchise relationship is intended or created by this Agreement.  If any portion of this Agreement is deemed unenforceable, that portion shall be enforced to the maximum extent possible and the remaining portions of the Agreement shall be given full effect.  SHOPPING.COM's failure to act in a particular circumstance does not waive the ability to act with respect to that circumstance or similar circumstances.

1.  License.
